Under no circumstances will CALLPASS TECH LLC and/or its affiliates or any of its directors, officers, employees, agents or subcontractors be liable under any theory of tort, contract, strict liability or other legal or equitable theory for lost profits, indirect, incidental, special, consequential, exemplary, incidental, or punitive damages, each of which is hereby excluded by agreement of the parties regardless of whether such damages were foreseeable or whether CALLPASS TECH LLC or any entity has been advised of the possibility of such damages. Notwithstanding anything in this Agreement to the contrary, CALLPASS TECH LLC cumulative liability, including for claims, expenses, damages or indemnity obligations arising out of this Agreement, shall not exceed the Airtime fee income paid by Client to CALLPASS TECH LLC under the terms of this Agreement. CLIENT BEARS SOLE RESPONSIBILITY TO DETERMINE WHETHER THE USE OF THE DEVICES CONFORMS TO APPLICABLE, FEDERAL, STATE AND LOCAL LAWS. CALLPASS MAKES NO REPRESENTATION WHATSOEVER OF THE APPROPRIATNESS OF THE CLIENT’S APPLICATION.
